Growth Ninja Marketing
AI SaaS Service Agreement & Terms of Service

This Agreement is between Growth Ninja Marketing (“Provider”) and the customer (“Client”). Provider will deliver the selected AI Employee package (Pro, Premium, or Elite) as described on our pricing page: https://growthninjamarketing.com/pricing.

1. Packages & Fees

  • Pro – $297/month – includes AI Voice Employee (basic), Reviews with automated response, and Chat Support.

  • Premium – $597/month – adds advanced AI Voice, AI Chat & Live Chat/Webchat, 2-Way Texting, CRM, Mobile App, and Live Call Transfers.

  • Elite – $997/month – includes custom AI actions, appointment booking/reminders, automated newsletters, workflow automation, plus everything in Premium.

2. Term & Renewal
Services begin on the date of signature or purchase and continue monthly or annually. Subscriptions automatically renew for the same term unless Client provides written notice at least 30 days before renewal.

3. Billing & Payment
Payment is made via card or invoice. Late payments may incur a 1.5% monthly late fee. Provider reserves the right to suspend services for unpaid invoices.

4. Deliverables & Support
Provider will deliver the features included in the selected tier and provide ongoing chat-based support. Setup may require coordination from Client.

5. Client Responsibilities
Client will supply necessary information, access, and timely approvals. Failure to cooperate may delay deliverables.

6. Intellectual Property
Provider retains all intellectual property related to AI systems, workflows, scripts, voices, automations, and templates. Client receives a limited license to use them during the agreement period.

7. Usage Restrictions
Client may not resell, reverse-engineer, share, or misuse Provider's systems. Misuse may lead to termination.

8. Termination
Either party may terminate the agreement with 30 days’ written notice. Provider may terminate immediately upon material breach or payment failure. No refunds are issued for unused time.

9. Limitation of Liability
Provider is not liable for indirect, consequential, or lost profits. Liability is capped at the amount paid by Client in the last 3 months.

10. Results Disclaimer
While Provider aims to boost customer engagement and conversions, business results may vary. No guarantees of ROI are made.

11. Refund Policy
Unless otherwise agreed, all fees are non-refundable.

12. Governing Law
This Agreement is governed by the laws of California.

13. Electronic Signature & Acceptance
This Agreement may be accepted digitally (e-signature, checkbox, or typed name). Such acceptance is legally binding.
